The Service Provider offers the following electronic services via the Platform:

  • bAccess to the product Catalogue — presentation of the commercial offer including clothing from Italian brands, including photos, descriptions, material composition and net wholesale prices.
  • cPlacing and processing Orders — a system that enables configuring orders (selecting products, colours, sizes and quantities), submitting orders, tracking their status and making payments.

  • eScheduling meetings — the option to book a video call in the showroom at Italian manufacturers.

Services are provided 24/7, subject to technical downtime.

The Service Provider reserves the right to temporarily limit or suspend access to the Platform, in particular to carry out maintenance, repairs or updates. Users will be informed of planned technical downtime at least 24 hours in advance — via e-mail or an in-app notice. In the event of unforeseen outages, the Service Provider will make every effort to restore the Platform as quickly as possible.

§ 3a. Technical requirements

To use the Platform, you must meet the following technical requirements:

  • aA device with Internet access (computer, tablet or smartphone).
  • bAn up-to-date web browser that supports JavaScript and cookies. The Platform requires JavaScript to be enabled to function properly. Recommended browsers: Google Chrome (version 90+), Mozilla Firefox (version 90+), Safari (version 14+), Microsoft Edge (version 90+).
  • cCookies and Local Storage enabled in the browser — required for proper session handling, the shopping cart and saving preferences.
  • dAn active e-mail address — required for registration, order confirmations and receiving notifications.
  • eMinimum screen resolution: 360px wide (mobile) or 1024px (desktop).
  • fAn Internet connection with a minimum bandwidth of 1 Mbps.

The Service Provider is not liable for issues resulting from the User’s failure to meet the above technical requirements.

§ 4. Registration and User Account

1.Registration requirements:

  • aRegistration is free of charge and available only to business entities.
  • bDuring registration, the User must provide true and up-to-date information, including: the first and last name of the person representing the company, company name, boutique/wholesale name, tax identification number (NIP/VAT) together with the country of registration, registered office address (street, building number, postal code, city, country), e-mail address, phone number with country code, and password (min. 8 characters).
  • cRegistration requires acceptance of these Terms and Conditions and the Privacy Policy.

2.Account verification:

  • aEach newly registered account is subject to verification by the Platform administrator.
  • bVerification includes checking the validity of the tax identification number (NIP/VAT) in the relevant public registers (VAT Taxpayers’ White List, VIES system, CEIDG, KRS).
  • cThe verification process usually takes up to 1 Business Day from registration, but no longer than 5 Business Days. In particularly justified cases (e.g., the need to verify additional documents, missing data in public registers), this period may be extended to 10 Business Days, and the User will be informed by email before the original deadline expires.
  • dThe User will be notified of the verification result by e-mail.
  • eUntil verification is completed successfully, the User’s access to the Platform is limited.
  • fIf any inaccuracies or inconsistencies are found in the provided data (in particular the NIP/VAT number), the Service Provider will contact the User by e-mail or phone to clarify. The User may supplement or correct the data within 3 business days from the Service Provider’s contact. Once the data is correctly updated, the account is verified and activated without delay. If the discrepancies are not clarified within the specified timeframe, the account will be rejected — the User may register again at any time using correct data.

3.User obligations regarding the Account:

  • aThe User must update their details if they change.
  • bThe User is responsible for keeping their login credentials confidential.
  • cThe User may not share their Account with third parties.

4.Account deletion:

  • aThe User may request deletion of the Account at any time.
  • bThe deletion request must be confirmed via a link sent to the User’s e-mail address.
  • cDeleting the Account is irreversible and results in permanent deletion of the User’s data, except for data the Service Provider is required to retain under applicable law, in particular: accounting data — for 5 years counted from the end of the calendar year in which the tax payment deadline expired, in accordance with Article 86 § 1 of the Act of 29 August 1997 — Tax Ordinance; data relating to KSeF documentation — for the period provided for in Article 112 and Article 112a of the Act of 11 March 2004 on value added tax (VAT).

§ 5. Orders

1.Placing orders:

  • aOrders may be placed only by registered and verified Users.
  • bThe User places an order by: adding products to the cart and selecting variants (colour, size, quantity), optionally indicating a backup colour in case the selected colour is unavailable (optional — the User may withdraw the backup colour at any time or knowingly choose not to use it). Indicating a backup colour is equivalent to consenting to fulfilment of the order in that colour without additional confirmation, in accordance with § 5(3c), proceeding to the order form and providing the delivery address, selecting a payment method, and confirming the order.
  • cSubmitting an order constitutes an offer to purchase within the meaning of Article 66 of the Civil Code.

2.Minimum order value:

  • aThe minimum order value is PLN 1,000 net. For orders settled in foreign currencies (EUR, USD, GBP), the minimum order value is set as the equivalent of PLN 1,000 net based on the average exchange rate of the National Bank of Poland from the last Business Day preceding the order date.
  • bThis restriction does not apply to the first order placed by a new User.
  • cThe minimum quantity per model is 5 pieces (colours may be mixed), unless individual arrangements with the manufacturer provide otherwise.

3.Availability confirmation:

  • aAfter an order is placed, the Service Provider verifies the availability of the ordered products with Italian manufacturers.
  • bAvailability is confirmed within 1–2 business days.
  • cIf the selected colour is unavailable, the Service Provider proceeds as follows: if the User indicated a backup colour when placing the order and has not withdrawn that choice, the Service Provider automatically fulfils the order in the backup colour without additional confirmation. The User’s indication of a backup colour constitutes their explicit consent to fulfil the order in that colour; the User has the right to withdraw consent to fulfilment in the backup colour (opt-out) at any time until availability is confirmed by the Service Provider — withdrawal is made via the orders panel on the Platform or by email; if the User did not indicate a backup colour or withdrew consent, the Service Provider informs the User of the unavailability and proposes an alternative. The User may: accept the proposed alternative, suggest a different colour, or remove the item from the order.
  • dThe User acknowledges that selecting a backup colour is optional but binding — once selected, the Service Provider is entitled to fulfil the order in the backup colour without obtaining additional approval. The User may withdraw the backup colour until availability is confirmed by the Service Provider.
  • eIf a given product (model) is completely unavailable, the Service Provider will attempt to contact the User by phone or via WhatsApp to agree on next steps. The User may: accept an alternative product proposed by the Service Provider, choose another product from the catalogue, or cancel that order item. The replacement product is priced as of the date the Service Provider proposes it. The User’s acceptance of the proposal constitutes acceptance of the replacement price.
  • fIf the User cannot be reached during order picking, the unavailable item will be cancelled. The remaining items will be processed unchanged, and the total order amount will be reduced accordingly.
  • gThe deposit paid does not change as a result of cancelling individual items. If, due to a reduction in the order value, the deposit paid exceeds the new order amount, the excess will be refunded to the User within 7 Business Days from the date the final order value is determined, to the bank account from which the payment was made.
  • hIf the unavailable products account for at least 50% of the order items, the User has the right to withdraw from the entire order and receive a full refund of the deposit within 7 Business Days from the date the withdrawal statement is submitted, provided it is delivered to the Service Provider no later than 7 days from the date the User receives information about the unavailability. The forfeiture rules for the deposit set out in § 6(5b) do not apply in this case, as the unavailability is not attributable to the User.
  • iA reduction in the order value due to product unavailability does not constitute a breach of the minimum order value requirement set out in section 2a.

4.Entering into a sales contract:

  • aThe sales contract is concluded once the deposit is credited to the Service Provider’s bank account.
  • bThe contract covers the products listed in the order, subject to their availability being verified in accordance with sections 3a–3i.
  • cIf the scope of the order is reduced due to certain products being unavailable, this constitutes partial performance of the contract, not a breach.

5.Prices:

  • aAll prices on the Platform are shown as net amounts (excluding VAT).
  • bVAT is added to net prices at the applicable rate, determined in accordance with the Act of 11 March 2004 on value added tax (VAT) (consolidated text: Journal of Laws 2024, item 361, as amended). For domestic supplies within Poland, the standard rate is currently 23%.
  • cPrices are shown in Polish zloty (PLN), euros (EUR), US dollars (USD) or British pounds (GBP), depending on the User’s settings. For settlements in currencies other than PLN, a 0.5% surcharge is added to the final order amount (including VAT) to cover currency conversion costs. Amounts on the invoice are converted using the average exchange rate published by the National Bank of Poland (NBP) on the last business day preceding the invoice issue date.
  • dPrices may change. For a placed order, the price in effect at the time the order is submitted applies, subject to § 5(3e) (price for a replacement product).
  • eThe Platform uses a volume discount system — discount details are shown for each product in the catalogue. Discounts apply from 10 pieces of a single model.
  • fIntra-Community supply of goods (ICS): for supplies to VAT-EU taxpayers in other European Union Member States who hold a valid VAT-EU number registered in the VIES system, the Service Provider applies a 0% VAT rate in accordance with Article 41(3) and Article 42 of the VAT Act (reverse charge). Invoices include the note “ICS — reverse charge”.
  • gExport of goods: for supplies outside the European Union, the Service Provider applies a 0% VAT rate in accordance with Article 41(4)–(6) of the VAT Act, provided that it holds documents confirming export of the goods (IE-599 message or equivalent).
  • hICS/export fallback clause: if, within the time limits set out in the VAT Act (in particular Article 42(1)(2) and Article 42(12) of the VAT Act), the Service Provider does not collect the documents confirming the ICS or export, the Service Provider is entitled to issue a corrective invoice charging VAT at the rate applicable to a domestic supply. The User is required to pay the VAT difference within 7 Business Days of receiving the corrective invoice. Failure to provide the Service Provider with the documents required to apply the 0% rate (including the CMR consignment note and the consignee’s confirmation of receipt) is the User’s responsibility.

6.Order cancellation:

  • aThe User may cancel an order until the deposit is paid.
  • bAfter the deposit is paid, order cancellation is subject to the rules set out in § 6(5).
  • cThe Service Provider reserves the right to cancel an order if products are unavailable or if the deposit is not paid within the specified timeframe.

§ 6. Payments

1.Payment methods:

The Service Provider accepts the following payment methods:

  • aBank transfer — to the Service Provider’s bank account.
  • bCash on delivery – with an additional +1.5% of the order value due to carrier fees.

2.Bank transfer details:

PLN account: PL30 1140 2004 0000 3102 8362 0887

EUR account: PL24 1140 2004 0000 3712 1994 0652

Payee name: GHINVESTAGENCY GRACJAN HINZ

3.Payment process for a standard customer (B2B):

  • aDeposit (20%) — after placing an order and confirming availability, the User is required to pay a deposit of 20% of the gross order value to confirm and initiate fulfilment. The deposit payment deadline is 3 Business Days from the date the User is informed that the ordered goods are available. If the deadline passes without payment, the Service Provider is entitled to cancel the order without financial consequences for either Party, after first requesting payment and setting an additional short deadline (not less than 24 hours).
  • bThe User may upload the transfer confirmation (proof of payment) via the Platform to speed up verification.
  • cThe deposit is verified by the administrator. Once confirmed, order picking begins.
  • dThe remaining amount (80% of the gross order value, reduced by any adjustments resulting from product unavailability, plus the delivery cost) is payable within 3 business days from the date the final invoice is delivered within the meaning of § 6(6) (the date the KSeF number is assigned, and in offline24 / outage modes—the date the invoice is made available in the agreed form). The payment due date stated on the invoice is binding, subject to the maximum payment term resulting from Article 7(2) and Article 7(2a) of the Act of 8 March 2013 on preventing excessive delays in commercial transactions (consolidated text: Journal of Laws 2023, item 1790, as amended). In the event of late payment, the Service Provider is entitled to statutory interest for late payment in commercial transactions at the rate specified in the announcement of the Minister of Finance (for the first half of 2026—14% per annum) and compensation for debt recovery costs (EUR 40 / 70 / 100—Article 10 of the said Act). The Service Provider may suspend fulfilment of the User’s subsequent orders until the arrears are settled and—if the delay exceeds 14 days—withdraw from the contract with respect to unpaid orders after first requesting the User to pay. If the Service Provider withdraws due to the User’s fault, the deposit paid is forfeited to the Service Provider in accordance with § 6(5b). The provisions of this section do not limit statutory interest or compensation to the creditor’s detriment in a manner that would be invalid within the meaning of Article 13 of the said Act.
  • eOnce full payment is confirmed, the order status changes to “Completed”.

4.Payment process for a customer with individual terms:

  • aA customer with individual terms makes payments under terms individually agreed with the Service Provider, confirmed in writing or by email.
  • bStandard process: picking → awaiting full payment → shipping.

5.Nature of the deposit:

  • aThe paid deposit confirms the order and serves as a guarantee of performance by both parties, in accordance with Article 394 of the Civil Code.
  • bIf the User cancels the order after paying the deposit, the paid amount is forfeited to the Service Provider — as compensation for picking activities already undertaken and goods reserved.
  • cIf the order is not fulfilled for reasons solely attributable to the Service Provider, the User has the right to request a refund of the paid deposit. The parties jointly exclude the application of Article 394 § 1, second sentence of the Civil Code, i.e. the right to demand double the amount — in exchange, the Service Provider undertakes to promptly refund the deposit in its nominal amount and, where possible, to propose an alternative order or compensation in another agreed form.

6.VAT invoices and the National e-Invoicing System (KSeF):

  • aThe Service Provider issues VAT invoices for each completed order in accordance with the Act of 11 March 2004 on value added tax (VAT) (consolidated text: Journal of Laws 2024, item 361, as amended).
  • bFrom the date on which the Service Provider becomes obliged to issue structured invoices in the National e-Invoicing System (KSeF) under the Act of 11 March 2004 on value added tax, invoices will be issued and made available to the User via KSeF, operated by the Head of the National Revenue Administration, in accordance with Articles 106na and 106nf of the VAT Act. Under the schedule set out in the Act of 5 August 2025 (Journal of Laws 2025, item 1203), this obligation arises: from 1 February 2026—for taxpayers whose sales value (including tax) exceeded PLN 200 million in 2024; from 1 April 2026—for other taxpayers; from 1 January 2027—for taxpayers whose total sales value in a given month does not exceed PLN 10,000 gross. Using the Platform means accepting delivery of invoices via KSeF as a method of making invoices available within the meaning of Article 106na of the VAT Act.
  • cFor domestic transactions, the invoice delivery date to the User is deemed to be the date the identifying number in KSeF (UID) is assigned, in accordance with Article 106nf(1) of the VAT Act. In addition, the Service Provider makes the invoice available as a visualisation (PDF) via the Platform and, if the User configures notifications accordingly, to the email address provided in the Account. The PDF visualisation is provided for information purposes only — the binding document is the structured invoice in KSeF.
  • dIf the Service Provider uses the offline24 mode (Article 106nda of the VAT Act) or the KSeF outage mode announced by the Minister of Finance (Article 106ne of the VAT Act), the Service Provider issues the invoice outside KSeF and makes it available to the User via the Platform and to the email address provided in the Account. The invoice is sent to KSeF immediately after the reason ceases — in offline24 mode no later than the next Business Day, and in outage mode within 7 days from the end of the outage. In these modes, the invoice delivery date to the User is deemed to be the day it is made available in the agreed form (Platform / email).
  • eFor Users without access to KSeF — in particular foreign counterparties outside the Polish KSeF system — the Service Provider delivers the invoice as a visualisation (PDF) containing the KSeF number together with a verification link or QR code, enabling confirmation of the invoice’s authenticity in KSeF. The visualisation is delivered to the User’s email address provided in the Account. The invoice delivery date is deemed to be the date the email is sent.
  • fThe User is required to keep their email address up to date in the Account. The Service Provider is not liable for the consequences of an invoice not being received due to an outdated email address being provided or the User lacking access to that email address.
  • gBy accepting these Terms and Conditions, the User consents to receiving invoices electronically in accordance with Article 106n of the VAT Act.

§ 7. Delivery

1.Delivery fulfilment:

  • aThe products available on the Platform are located in Italy.
  • bStandard delivery time is 4–5 business days from dispatch from our warehouse in Poland.
  • cWe ship from Italy to Poland on an ongoing basis — once your order has been picked.
  • dFor orders over 50 pieces, an express shipping option is available (delivery time reduced by approx. 2 days).

2.Delivery address:

  • aThe User provides the delivery address when placing an order.
  • bThe User may use saved addresses or the company address provided during registration.
  • cThe Service Provider is not liable for delays or non-delivery resulting from an incorrect address being provided.

3.Shipment tracking:

  • aOnce the order has been shipped, the User receives a tracking number.
  • bTracking is available via the carrier’s website; a link is provided in the Orders panel on the Platform.

4.Delivery costs:

  • aDelivery costs depend on the number of items (volume) in the order and the destination. Items are packed in boxes measuring approx. 70 x 50 x 50 cm.
  • bEstimated shipping cost per carton: 30–45 PLN (Poland), 10–15 EUR (Europe). The more items in the order, the more cartons are needed — the final delivery cost is proportional to the quantity of goods.
  • cA new User’s first order includes free delivery with no quantity limits.
  • dFor cash on delivery, shipping may cost more due to carrier fees.
  • eThe default Incoterms 2020 rule for deliveries arranged via the Platform is FCA (Free Carrier) — the dispatch warehouse in Poland. The risk of loss or damage to the Goods passes to the User upon handing the Goods over to the carrier, in accordance with Article 544 § 1 and Article 548 § 1 of the Civil Code. The Parties may individually agree on a different Incoterms rule (in particular DAP — Delivered At Place, premium) — this requires written form or confirmation by email.

5.How delivery costs are determined and communicated:

  • aDue to the specifics of the fulfilment process (picking and packing directly at Italian manufacturers), the final delivery cost is determined once the order has been completed, when its actual weight and volume are known.
  • bOnce the order has been completed, the Service Provider promptly informs the User of the delivery cost — by e-mail and in the Orders panel on the Platform.
  • cThe delivery cost is added to the remaining amount due for the order and is payable together with it in accordance with § 6(3)(d).
  • dThe estimated delivery cost ranges indicated in § 7(4b) (30–45 PLN per carton for Poland and 10–15 EUR per carton for the other European Union countries, multiplied by the number of cartons required to fulfil the order) constitute a binding reference threshold. A User who does not accept the stated delivery cost has the right to cancel the order within 48 hours of receiving the final cost information. If the actual delivery cost falls within the estimated ranges referred to in the previous sentence, cancelling the order is treated as a User-initiated cancellation, and the deposit paid is non-refundable in accordance with the rules set out in § 6(5).
  • eIf the actual delivery cost exceeds the upper end of the indicative range referred to in point (d) by more than 20%, cancelling the order within the 48-hour window will be free of any financial consequences for the User, and the deposit paid will be refunded in full within 7 business days from the date the cancellation notice is submitted, to the bank account from which the payment was made. In such a case, the deposit forfeiture rules set out in § 6(5b) do not apply, because the material discrepancy between the communicated reference threshold and the final cost is not attributable to the User.

6.Receiving the shipment and transport damage:

  • aThe User is required to check the condition of the shipment when collecting it from the carrier, in particular the condition of the outer packaging.
  • bIf visible damage to the shipment is found upon receipt, the User should immediately prepare a damage report in the presence of the courier/collection point staff and refuse to accept the shipment or accept it with a reservation noted in the report. The damage report is the basis for pursuing claims against the carrier. In international transport, Article 30(1) of the Convention on the Contract for the International Carriage of Goods by Road (CMR), done at Geneva on 19 May 1956 (Journal of Laws 1962 No. 49, item 238, as amended), applies — acceptance of the shipment without reservations creates a presumption that it was received in the condition stated in the consignment note.
  • cIf the damage becomes apparent only after opening the shipment, the User should file a complaint with the carrier immediately, no later than within 7 days of delivery (Article 30(1) of the CMR Convention — in international transport), keeping the original packaging as evidence. In the event of delivery delay, the claim expires if the reservation is not made within 21 days from the date the Goods were placed at the consignee’s disposal (Article 30(3) of the CMR Convention).
  • dAt the same time, the User should inform the Service Provider at kontakt@wloski-hurt.com, providing photo documentation of the damage and confirmation that a carrier complaint has been filed. The Service Provider will provide the necessary support in the complaint process.
  • eThe Service Provider is not liable for damage incurred during transport if the User accepted the shipment without reservations and did not follow the carrier’s complaint procedure.

§ 7a. Force Majeure

  1. 1Neither Party shall be liable for non-performance or improper performance of obligations under these Terms and Conditions if such non-performance or improper performance results from force majeure.
  2. 2Force majeure means an external, extraordinary, unforeseeable event that cannot be prevented, including in particular: natural disasters, wars, states of emergency, epidemics and pandemics, general strikes, transport blockades, decisions of public authorities (including import/export bans and customs restrictions), failures of critical infrastructure, and other events of a similar nature.
  3. 3The Party affected by force majeure must promptly, no later than within 5 business days of the event occurring, notify the other Party of the force majeure event, its expected duration, and its impact on order fulfilment.
  4. 4In the event of force majeure, order fulfilment and delivery deadlines are extended by the duration of the obstacle, subject to paragraph 5.
  5. 5If force majeure lasts longer than 30 days, either Party has the right to withdraw from the order without financial consequences. In such case, the paid deposit will be refunded in full within 7 Business Days from the date the withdrawal statement is submitted.
  6. 6The Service Provider will use best efforts to minimise the impact of force majeure on order fulfilment, including by seeking alternative transport routes and delivery methods.

§ 8. Product complaints

1.Basis for complaints:

  • aThe Service Provider is liable for physical defects in the delivered goods under the rules set out in the Civil Code provisions on statutory warranty for defects (Articles 556–576 of the Civil Code).
  • bDue to the B2B nature of the transaction, the Parties may, pursuant to Article 558 § 1 of the Civil Code, modify the statutory warranty rules through individual arrangements.

2.Submitting complaints — deadlines (Article 563 § 1 of the Civil Code, B2B):

  • aApparent defects (detectable during a standard inspection of the Goods at delivery or immediately thereafter, in particular: damage, soiling, non-compliance with the order as to model/colour/size/quantity) — the User must report them within 7 Business Days of delivery. After this deadline passes without effect, the User loses warranty rights due to these defects (Article 563 § 1 of the Civil Code).
  • bHidden defects (not detectable during a standard inspection of the Goods, becoming apparent only during further use) — the User must report them immediately upon discovery, no later than 30 days from the date the defect is discovered, provided that the general limitation period for warranty rights is 24 months from the date the Goods are delivered (Article 568 § 1 of the Civil Code).
  • cClaims relating to damage incurred during transport are, in the first instance, subject to the procedure set out in § 7(6) (Receipt of the shipment and transport damage — CMR / domestic carrier). Failure to follow the carrier procedure does not deprive the User of their rights under statutory warranty against the Service Provider with respect to defects in the Goods themselves (other than transport damage).
  • dComplaints should be submitted by e-mail to: kontakt@wloski-hurt.com or in writing to the Service Provider’s registered office address.
  • eThe complaint should include: the order number, a description of the defect/issue, photo documentation (if physical defects apply), and the requested resolution.

3.Complaint handling:

  • aThe Service Provider will review the complaint within 14 days of receiving it.
  • bIf the complaint is accepted, the Service Provider — depending on the nature of the defect — will replace the goods, refund the cost of the defective goods, or grant a discount.
  • cThe User will be informed of the outcome by e-mail.

4.Exclusions:

  • aComplaints do not cover defects resulting from improper use, storage, or transport of the goods after delivery.
  • bColour differences resulting from monitor settings do not constitute grounds for a complaint.

§ 9. Complaints regarding electronic services

The User has the right to submit complaints regarding electronic services provided (the Platform’s operation, the Account, the ordering system).

1.How to submit a complaint:

Complaints should be sent by e-mail to: kontakt@wloski-hurt.com or in writing to the Service Provider’s registered office address.

2.Required information in a complaint:

  • athe User’s full name or company name,
  • bthe e-mail address associated with the Account,
  • ca detailed description of the issue,
  • dthe requested resolution.

3.Review timeframe:

  • aThe Service Provider will review complaints within 14 days of receiving them.
  • bThe User will be informed of the outcome electronically at the provided e-mail address.

§ 10. Right of withdrawal

1.Exclusion of the consumer right of withdrawal:

The Platform is intended exclusively for businesses (B2B). Therefore, Users are not entitled to withdraw from the contract under Article 27 of the Act of 30 May 2014 on Consumer Rights.

2.Entrepreneurs with consumer rights — Article 7aa of the Consumer Rights Act:

The wloski-hurt.com Platform sells clothing wholesale, in particular for further resale (wholesale trade — PKD codes 46.42.Z, 47.71.Z, or related trade codes). By its very nature, this activity is professional in character for the User. Registration on the Platform requires a registered business and a valid NIP/VAT number, and is available only to entities for whom wholesale purchases are directly related to their business activity and are professional in nature. For these reasons, the protection provided for in Article 7aa(1) of the Act of 30 May 2014 on consumer rights (consolidated text: Journal of Laws 2024, item 1796, as amended) — as regards selected provisions applied to a natural person entering into a contract directly related to their business activity, where the content of that contract shows that it is not professional in nature for them — does not apply to contracts concluded via the Platform.

This provision only defines the Platform’s intended audience and the nature of the wholesale activity carried out on it. It does not make the conclusion of a specific contract conditional on the User submitting the statement referred to in Article 7aa(2) of the cited Act. The basis for excluding protection is the objective professional nature of wholesale purchases, confirmed by the NIP/VAT number and the type of business activity (PKD) declared by the User.

§ 13. Intellectual property

All content published on the Platform, including in particular: product photos, descriptions, logos, graphic designs, page layout, software, databases, and other materials, is the property of the Service Provider or entities with whom the Service Provider has entered into relevant agreements, and is protected by copyright and industrial property laws.

§ 14. Liability

The Service Provider makes every effort to ensure that information on the Platform is up to date, accurate, and complete; however, it does not guarantee absolute accuracy.

3.Limitation of liability under the sales contract:

Subject to section 4 (Exceptions) and mandatory provisions of law, the Service Provider’s total liability to the User for non-performance or improper performance of a sales contract concluded via the Platform—regardless of the legal basis of the claim (contract, tort, statutory warranty, or otherwise)—is limited to the gross value of the specific order to which the damaging event relates. The Service Provider is not liable for lost profits (lucrum cessans), in particular loss of profit, loss of a contract with an end customer, loss of reputation, loss of expected savings, or for indirect and consequential damages resulting from non-performance or improper performance of the sales contract. This limitation applies exclusively in B2B transactions pursuant to Article 558 § 1 and Article 473 § 1 of the Civil Code.

4.Exceptions:

The above limitations of liability do not apply to: damage caused intentionally by the Service Provider (Article 473 § 2 of the Civil Code); personal injury; cases where mandatory provisions of law do not allow liability to be limited or excluded.

§ 15. Termination of the agreement and account suspension

1.Termination by the User:

  • aThe User may terminate the agreement for the provision of electronic services at any time by requesting deletion of the Account.
  • bThe request must be confirmed via a link sent to the User’s e-mail address.
  • cTermination does not release the User from the obligation to settle liabilities arising from previously placed orders.

2.Termination / Account suspension by the Service Provider:

  • aThe Service Provider may suspend or delete the User’s Account in the event of: a breach of these Terms and Conditions, providing false information during registration, actions taken to the detriment of the Service Provider or other Users, or inactivity on the Account for more than 12 months (after prior notice).
  • bThe User will be notified by e-mail of the Account suspension or deletion, together with the reason.

§ 16. Personal data protection

The Service Provider is the controller of Users’ personal data.

§ 18. Dispute resolution

  1. 1The Parties mutually agree to submit any disputes arising from contracts concluded via the Platform to the exclusive jurisdiction of the Polish courts. The court with territorial jurisdiction is the common court competent for the Service Provider’s registered office. This provision constitutes a jurisdiction agreement within the meaning of Article 25 of Regulation (EU) No 1215/2012 of the European Parliament and of the Council of 12 December 2012 (Brussels I bis).
  2. 2Before taking the matter to court, the Parties agree to first attempt an amicable resolution. To this end, the Party making a claim will notify the other Party in writing (by email or registered mail) and set a response deadline of no less than 14 days.
  3. 3The Parties may also use mediation conducted by a mediator listed on the register of permanent mediators maintained by the President of the Regional Court having jurisdiction over the Service Provider’s registered office.
  4. 4Given that the Platform is intended exclusively for businesses (B2B) and the protection provided for in Article 7aa(1) of the Act of 30 May 2014 on consumer rights (consolidated text: Journal of Laws 2024, item 1796, as amended) does not apply pursuant to § 10, the provisions on out-of-court consumer dispute resolution do not apply to Users, in particular the Act of 23 September 2016 on out-of-court consumer dispute resolution. In particular, Users are not entitled to mediation conducted by provincial inspectorates of the Trade Inspection or proceedings before permanent consumer arbitration courts. However, the Parties may use commercial (business) mediation under the general rules set out in the Code of Civil Procedure.

§ 19. Changes to the Terms

  1. 1The Service Provider reserves the right to amend these Terms.
  2. 2Users will be notified of planned changes electronically to the email address provided during registration at least 14 days before the changes take effect (vacatio legis).
  3. 3Changes take effect 14 days after they are published on the Platform, unless the change results from a legal obligation requiring an earlier effective date.
  4. 4Using the Platform after the amended Terms take effect means you accept the new provisions.
  5. 5If you do not accept the changes, you have the right to terminate the agreement by deleting your Account before the changes take effect.

§ 20. Final provisions

Governing law: In matters not regulated by these Terms and Conditions, Polish law applies, in particular the Civil Code (consolidated text: Journal of Laws 2025, item 1071, as amended), the Act of 18 July 2002 on the provision of services by electronic means (consolidated text: Journal of Laws 2024, item 1513), and Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR). The Parties mutually exclude the application to contracts concluded via the Platform of the United Nations Convention on Contracts for the International Sale of Goods, done at Vienna on 11 April 1980 (Journal of Laws 1997 No. 45, item 286), pursuant to Article 6 of that Convention. The choice of Polish law and the exclusion of the Vienna Convention (CISG) also apply to Users whose registered office or habitual residence is outside the territory of the Republic of Poland.

Dispute resolution: The Parties mutually agree to submit any disputes arising from the application of these Terms and Conditions to the exclusive jurisdiction of the Polish courts; the court with territorial jurisdiction is the common court competent for the Service Provider’s registered office, subject to § 18.

Severability clause: If any provision of these Terms is found to be invalid or ineffective, the remaining provisions remain in force. Invalid or ineffective provisions will be replaced with provisions that most closely reflect the intended commercial purpose.

Language: These Terms have been drawn up in Polish. In the event of translations into other languages, the Polish version is binding.

Effective date: These Terms and Conditions enter into force on May 8, 2026.
